Standard terms for corporate events, offsites, MICE, team experiences, and related services booked with Showmaker Events (ShowMaker Enterprise), India.

These are the standard client terms and conditions of ShowMaker Enterprise (trading as Showmaker Events and “Showmaker”), with its principal business address at 2, 2nd main 8th anepalaya, Bengaluru — 560030, Karnataka, India. Unless a separate written agreement is signed by both parties before the event, all work and deliverables are provided solely on these terms.

Section 1Event booking details

All bookings are provisional until (a) these terms are accepted in writing by the client, (b) a non-refundable deposit is received as set out under Price & payment (section 2), and (c) Showmaker Events confirms the booking in writing. Until then, dates and resources may be released without liability.

Showmaker Events is not obliged to hold provisional bookings beyond the option date stated on the proposal (typically 10 working days from the booking request) if the deposit and signed acceptance have not been received. For this agreement, “working days” means Monday to Friday inclusive, excluding public holidays in India unless otherwise agreed.

Section 2Price & payment

All prices are as quoted in the written proposal (including applicable taxes such as GST, where stated). Quotes may be adjusted if agreed in writing with the client, or where an error or omission is identified, or where costs change due to circumstances beyond the reasonable control of Showmaker Events (for example supplier surcharges, regulatory changes, or scope changes requested by the client).

Any dispute on an invoice must be notified to Showmaker Events in writing within 10 working days of receipt. If no dispute is raised in time, the full amount is due on the due date. The client's representative who confirms the booking is responsible for sharing Showmaker Events's payment terms with all stakeholders (finance, procurement, legal) who must approve payment.

  • 1DepositOn confirmation, the client pays 50% of the total fee in the proposal (including GST where applicable). The remaining 50% is referred to as the balance instalment.
  • 2BalanceThe balance is due 14 working days before the event date unless a different schedule is agreed in writing.
  • 3Additional expensesCosts arising from client-requested changes not included in the agreed proposal may be invoiced separately after the event, subject to prior agreement where practicable. Payment is due within 5 working days of invoice; queries within 3 working days of invoice presentation.
  • 4Late bookingsIf a booking is made within 20 working days of the event date, 100% payment may be required upfront to secure vendors and venues.

Methods of payment

  • Bank transfer — Account details are shared on request to hola@showmaker.in.
  • The client should email Showmaker Events when initiating a transfer (amount, invoice reference, and payer name) so allocations are timely.

Section 3Cancellation & postponement

This clause applies if the client (a) cancels the entire event, (b) cancels part of the contracted scope, or (c) shortens the event so that the contracted value decreases.

Cancellation charges apply to the total contracted charge, including (where applicable) accommodation, venue hire, equipment, and pre-ordered food and beverage. The client also reimburses verifiable third-party cancellation fees that Showmaker Events paid on the client's behalf.

Cancellations must be received in writing (email acceptable) and take effect from the date Showmaker Events acknowledges receipt.

Showmaker Events may cancel or re-scope a booking if the client's confirmed requirements change by more than 40% versus the original contract, after written notice and discussion of alternatives.

Postponement of confirmed business is treated as a cancellation under this clause unless both parties sign a written deferment agreement with revised fees and dates.

Section 4Liability

Some activities carry inherent risk even when professionally supervised. To the maximum extent permitted by applicable law, neither ShowMaker Enterprise, Showmaker Events, nor their employees or agents shall be liable for indirect or consequential loss, or for loss of profit, goodwill, or data. Liability for direct loss (except death or personal injury caused by negligence, fraud, or wilful default) is limited to the fees paid for the specific event giving rise to the claim, unless a higher cap is agreed in writing.

For certain high-adrenaline or physical formats, participants may be asked to sign a liability waiver on the day. Such waivers do not exclude liability for death or personal injury caused by Showmaker Events's negligence, or for loss or damage caused by fraud, to the extent not permitted by law.

Section 5Force majeure

Showmaker Events is not liable for delay or non-performance where caused by events outside its reasonable control, including but not limited to natural disasters, government restrictions, strikes or lockouts (other than of Showmaker Events's own staff), war, terrorism, fire, epidemic or pandemic measures, failure of utilities or transport, or critical supplier failure. Affected obligations are suspended for the duration of the event; timelines may be extended reasonably, or the parties may agree rescheduling or partial refund of recoverable amounts.

Section 6Severance

If any provision of these terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision is severed and the remaining provisions continue in full force and effect as if the invalid portion had never been included.

Section 7Governing law & jurisdiction

These terms are governed by the laws of India. The courts at Bengaluru, Karnataka shall have exclusive jurisdiction, subject to any mandatory consumer protections that cannot be contractually waived.

Section 8Entire agreement

These terms, together with the signed proposal or order form and any written variations agreed by both parties, constitute the entire agreement on their subject matter and supersede prior discussions or correspondence. No change is binding unless signed by authorised representatives of both parties, except where Showmaker Events confirms minor operational changes by email and the client proceeds without objection.
